1. Agreement to These Terms
These Terms of Use ("Terms") are a legal agreement between you ("you," "your," or the "Customer") and Pupae Studio ("Pupae Studio," "we," "us," or "our"), governing your access to and use of ThreadPrint, our farm-to-cradle garment life-cycle-assessment platform (the "Service"), including the threadprint.pupaestudio.com website and application.
By creating an account, or by accessing or using the Service in any way, you agree to be bound by these Terms. If you're agreeing on behalf of a company or other organization, you're confirming you have the authority to bind that organization to these Terms, and "you" refers to that organization.

2. Who Can Use ThreadPrint
- ThreadPrint is a business-to-business (B2B) service intended for apparel and textile brands, their employees, and their authorized representatives — it is not directed at, marketed to, or intended for use by consumers or children.
- You must be at least 18 years old and have the authority to enter into a binding agreement to create an account.
- You're responsible for the accuracy of the information you provide when creating a brand account, including your brand name and the email address associated with your account.
3. Your Account
- Each brand workspace has one or more user accounts. The person or organization that creates the brand workspace is responsible for all activity under that workspace's accounts, including supplier data submitted, SKUs created, and any subscription tier changes made by users on that account.
- You're responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at hello@pupaestudio.com if you suspect unauthorized access.
- You may not share a single account's credentials across multiple people where the Service or your subscription plan is priced or limited on a per-seat or per-usage basis, except as your specific plan permits.
4. Subscription Plans, Usage Limits, and Payment
ThreadPrint is offered on subscription tiers (currently Studio, House, and Maison), each with a monthly limit on the number of SKU assessments included and, for House and Maison, access to brand-specific supplier data overrides and portfolio reporting.
- Running a new assessment against a SKU counts toward your plan's monthly limit; editing a SKU's specification or running the optimizer's what-if comparisons does not.
- We may change our subscription plans, pricing, or usage limits with reasonable advance notice; continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing for your next billing cycle.
Needs your inputThreadPrint does not yet process payments automatically through the Service — plan changes are currently handled directly by your team rather than a self-serve checkout. Describe your actual current process here, and rewrite this section fully once self-service billing exists, to cover billing cycles, auto-renewal, refunds, and how price changes are communicated.
5. Acceptable Use
You agree not to, and not to permit anyone else to:
- Use the Service to violate any applicable law, or the intellectual property, privacy, or other rights of any third party;
- Attempt to gain unauthorized access to another brand's workspace, data, or account, or to the Service's underlying infrastructure;
- Probe, scan, or test the Service's security, or circumvent any rate limiting, usage quota, or access control, except through a coordinated disclosure process we've agreed to in advance;
- Submit data to the Service that you don't have the right to submit, including a third party's confidential supplier data without authorization;
- Use automated means to extract data from the Service at a scale or in a manner that degrades Service performance for other customers;
- Misrepresent ThreadPrint's calculated output as independently verified, audited, or certified when it has not gone through that process (see Section 6).
We may suspend or terminate accounts that violate this section, with notice where practical.
6. The Nature of ThreadPrint's Calculations — Please Read This Section
This section matters more than most Terms of Use boilerplate, because it directly affects how you can rely on and represent ThreadPrint's output.
- ThreadPrint's environmental and cost figures are calculated from a factor library that includes both externally sourced data and illustrative default values. Every factor in the library is tagged with a data-quality tier so you can see which is which — illustrative defaults are representative estimates, not measured, audited, or certified data for your specific supply chain.
- ThreadPrint's calculation methodology is built to align with TRACI 2.1 and ISO 14040, 14044, 14067, 14025, and 14021 — "aligned with" describes how the calculations are structured. It is not a claim that any specific assessment, or ThreadPrint itself, is independently certified or verified under those standards.
- If you plan to make a public environmental or cost claim based on ThreadPrint's output — in marketing, in a regulatory filing, or in an Environmental Product Declaration — you are responsible for determining what additional verification, review, or substantiation that claim requires, and for obtaining it. ISO 14044 in particular requires independent critical review before a public comparative claim between named products is made — ThreadPrint does not perform that review for you.
- ThreadPrint is a decision-support tool. It is not a substitute for a licensed background LCA database, a certified Environmental Product Declaration, or professional environmental, legal, or regulatory compliance advice.
7. Your Data
- You retain all rights to the SKU specifications, supplier data, and other business data you submit to ThreadPrint ("Customer Data"). We don't claim ownership of it.
- You grant us a limited license to host, process, and calculate against your Customer Data solely to provide the Service to you.
- See our Privacy Policy for how we handle personal data (like the email address associated with your account) specifically — these Terms cover the business/product data you submit; the Privacy Policy covers personal data.
- You're responsible for having the right to submit any supplier-provided data you enter into the Service, including respecting any confidentiality obligations you owe to that supplier.
8. Intellectual Property
- ThreadPrint — including its software, calculation methodology, factor library structure, and design — is owned by Pupae Studio and protected by intellectual property laws. These Terms don't grant you any rights to our intellectual property beyond the limited right to use the Service as intended.
- The base factor library's illustrative and externally sourced factors are provided as part of the Service; your own brand-specific supplier overrides remain your Customer Data as described in Section 7.
9. Suspension and Termination
- You may stop using the Service and close your account at any time by contacting us at hello@pupaestudio.com.
- We may suspend or terminate your access if you materially breach these Terms and don't cure the breach within a reasonable period after notice, or immediately if your use poses a security risk to the Service or other customers.

10. Disclaimers
THE SERVICE AND ITS OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY CALCULATED FIGURE IS ACCURATE FOR YOUR SPECIFIC SUPPLY CHAIN, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ILLUSTRATIVE DEFAULT FACTOR REFLECTS YOUR ACTUAL SUPPLIER'S PERFORMANCE.
This all-caps disclaimer block is standard practice in SaaS Terms of Use, but the exact wording and enforceability varies by jurisdiction — have your attorney confirm this section matches the law where you're incorporated and where your customers are based.
11. Limitation of Liability

The exact cap, carve-outs, and enforceability depend on your jurisdiction and risk tolerance. This is one of the sections most worth a real attorney's input rather than a template, given that a customer could theoretically rely on a calculated figure in a regulatory filing.
12. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we'll provide notice — for example, by email to your account's admin user or a notice within the Service — before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
